Non-expedited processing typically takes 4-6 weeks. With expedited processing, which is included in our Standard and Complete Incorporation Service packages, the average timeframe is reduced to 7-10 business days. A number of states also offer 24- or 48-hour filing service, which is a great option if you are in a hurry to form your LLC.
LLCs are subject to ongoing requirements in the state of incorporation, such as filing annual reports and paying the applicable annual report fees and/or franchise tax. We are committed to helping you stay on top of your compliance obligations. There are many factors to consider, such as where your company intends to conduct business, the state fees, tax laws and business laws of the state, and whether you plan to qualify your company to conduct business in multiple states. Most small business owners tend to form their LLC in the state where their company conducts (or intends to conduct) the majority of its business.
Once your filing is complete, you’ll want to hold an initial organizational meeting. At this meeting you should establish your operating agreement and issue ownership units. You will find templates for executing these meetings on your Company Forms CD. We include a free copy of our Company Forms CD with our Standard and Complete Incorporation Service packages. You will receive this at the same time you receive your state-approved incorporation documents from us. This helpful tool allows you to easily customize necessary forms (such as operating agreements, notices for member and manager meetings, minutes, resolutions, LLC company summary and an annual requirements checklist). We ensure that all the information you provided during the order process meets state requirements. We'll contact you before we prepare your filing if we see any issues.
Next, we conduct a preliminary name check to see whether the business name you've selected is available in your state of incorporation. Final approval of your name will be granted by the state.
We prepare your incorporation documents and send them to the state agency. State approval and processing times vary, but can be fulfilled within 10 business days with expedited service. Once we receive your state-approved incorporation documents back, they are immediately available in our Online Status Center.
A complete package of documents and materials is then shipped to you. In addition to your incorporation documents, this will include company form templates specific to the business type you chose to help you comply with ongoing formalities.
After incorporating, you're ready to formalize your business, such as holding initial meetings and issuing ownership shares/certificates. Also, make sure you have any necessary licenses and permits, and continue to meet ongoing compliance requirements.
