How long will it take to form my limited liability partnership (LLP)?

Non-expedited processing typically takes 4-6 weeks. With expedited processing, which is included in our Standard and Complete Incorporation Service packages, the average timeframe is reduced to 7-10 business days.

How do I keep my LLP in compliance?

LLPs are subject to ongoing requirements in the state of incorporation, such as filing annual reports and paying the applicable annual report fees and/or franchise tax. We are committed to helping you stay on top of your compliance obligations. This is why we provide six months of free Registered Agent Service with every limited liability partnership order and access to BizComply, our online compliance tool designed to provide you with peace of mind.

Where should I form my LLP?

There are many factors to consider, such as where your company intends to conduct business, and what state fees, tax laws and business laws are applicable to your LLP. But more than any other business type, LLPs tend to incorporate in the state where the partners provide their professional services. Since professional services are closely tied to specific geographic regions, partners often choose to incorporate in the partnership’s home state. For instance, if an attorney passed the bar in Georgia or a CPA is licensed to practice in Wisconsin, he or she would stick to the state that makes the most sense for the practice.

What happens after I form my LLP?

Once your filing is complete, it’s recommended to hold an organizational meeting. At this meeting you should create a partnership or operating agreement and issue partnership certificates to the partners. You will find partnership agreement templates on your Company Forms CD.

You will receive this at the same time you receive your state-approved incorporation documents from us. This helpful tool allows you to easily customize necessary forms.
