LLPs are subject to ongoing requirements in the state of incorporation, such as filing annual reports and paying the applicable annual report fees and/or franchise tax. There are many factors to consider, such as where your company intends to conduct business, and what state fees, tax laws and business laws are applicable to your LLP. But more than any other business type, LLPs tend to incorporate in the state where the partners provide their professional services. Since professional services are closely tied to specific geographic regions, partners often choose to incorporate in the partnership’s home state. For instance, if an attorney passed the bar in Georgia or a CPA is licensed to practice in Wisconsin, he or she would stick to the state that makes the most sense for the practice.
Once your filing is complete, it’s recommended to hold an organizational meeting. At this meeting you should create a partnership or operating agreement and issue partnership certificates to the partners. You will find partnership agreement templates on your Company Forms CD. We ensure that all the information you provided during the order process meets state requirements. We'll contact you before we prepare your filing if we see any issues.
Next, we conduct a preliminary name check to see whether the business name you've selected is available in your state of incorporation. Final approval of your name will be granted by the state.
We prepare your incorporation documents and send them to the state agency. State approval and processing times vary, but can be fulfilled within 10 business days with expedited service. Once we receive your state-approved incorporation documents back, they are immediately available in our Online Status Center.
A complete package of documents and materials is then shipped to you. In addition to your incorporation documents, this will include company form templates specific to the business type you chose to help you comply with ongoing formalities.
After incorporating, you're ready to formalize your business, such as holding initial meetings and issuing ownership shares/certificates. Also, make sure you have any necessary licenses and permits, and continue to meet ongoing compliance requirements.
