Compliance Management with BizComply

As a business owner , it is imperative that you know the steps required to keep your corporation or LLC compliant and in good standing with the state in which it is formed. Many new business owners are unaware of the important obligations that must be upheld after they have formed their businesses.  All too often there are accounts of entrepreneurs starting a business, incorporating that business, and then failing to comply with various corporate formalities and filings. It is important to note there can be serious repercussions if the ongoing requirements corporations and LLCs face are not met.

Most likely, you've created a corporation or LLC, in part, to separate your personal assets from those of your company. Corporations and LLCs are legal entities that exist separately from their owners, and with the formation comes certain responsibilities and requirements. If your business does not perform all the necessary steps to act like a corporation or LLC, such as filing annual reports with and paying annual fees  to the state in a timely fashion and holding and properly documenting necessary meetings, it may fall victim to what's called "piercing the corporate veil." When the corporate veil is pierced, a business is deemed to be operating more like a sole proprietorship than a corporation or LLC. As a result, owners' personal assets are no longer protected in the event of a lawsuit.

BizFilings understands the complexities of keeping a corporation or LLC compliant, which is why we created BizComply — a product that helps to ensure your company's "corporate veil" remains intact.

BizComply is a web-based application that outlines critical compliance events, notifies you before these events need to happen, provides access to important forms, and houses your company's important information in one convenient location. If you are an owner of multiple businesses, you can keep track of each business through a single account. Additionally, if your company is qualified to transact business in other states, BizComply will help you manage the compliance requirements for each of those states.

BizComply Features:

  • Company Dashboard
The Dashboard provides an at-a-glance overview of the important company data. If you've formed your corporation or LLC with BizFilings, all of this information will be pre-populated in BizComply the first time you log in! There will be no need to perform time-consuming data entry.

  • Alert Manager
The Alert Manager enables you to track meaningful events pertaining to your company. Based on the states in which your company is formed and, if applicable, qualified to transact business, the Alert Manager will automatically recognize certain critical dates such as state annual report due dates. The Alert Manager will also pre-populate with certain tasks that are common and necessary to businesses.

Alert Manager also gives you the ability to create new events that you deem important to your business, and set the notification parameters for these events. You can choose to have all your alerts emailed to you or anyone else associated with your business. You won't forget about these critical dates because BizComply will remind you!

  • Forms Library
The Forms Library houses many important forms necessary for keeping a business compliant with state requirements. When you generate a form, much of your company's data will automatically pre-populate in the right spots, saving you time on data entry. Upon generating a form or document, printing and saving are both available options, making it easy to store these forms with your company records.

Q. Why is BizComply important?

A. Corporations and limited liability companies (LLCs) face a number of ongoing compliance requirements, such as filing annual reports with and paying any necessary fees to the state of formation, and if applicable the state(s) of foreign qualification. Additionally, corporations must hold and properly document initial and annual meetings of directors and shareholders, and LLCs are recommended to do the same for members/managers.

Not meeting these requirements can have serious repercussions and can lead to the loss of the limited liability protection these entities afford their owners. BizComply tracks and alerts business owners when it is time to address these important compliance events, helping keep businesses compliant, in good standing with the state, and the benefits afforded to the owners in tact.
