  • Incorporation Filing Delays in California

    The State of California is currently taking approximately five to seven weeks to process expedited incorporation filings, and 12 weeks (or more) to process non-expedited filings. California does offer a 48-hour option for incorporation filings for an additional state fee. This option is available on our online order form.   • Filing Delays in Maryland

    The State of Maryland is currently taking approximately 10-12 weeks to process all types of business filings. For incorporation filings, expediting the filing with the state can reduce the state processing time to 7-10 business days. Maryland does offer a 48-hour option for incorporation filings.   • Filing Delays in Washington

    The State of Washington is currently taking approximately 15-16 weeks to process all types of business filings. For incorporation filings, expediting the filing with the state can reduce the state processing time to 7-10 business days. Expedited Processing Service is included in our Standard and Complete Incorporation Service packages, or you can add it to our Basic Incorporation Service package for $60 + state fees.   • Scam Alert: Misleading Business Solicitation in New York and Ohio

    A company named United States Corporation Register has been mailing letters to companies incorporated in New York and Ohio stating that these companies owe a large sum of money (often around $1000). This company is not affiliated with the United States government or any of the state governments, and these solicitations should be discarded.

    In New York, the solicitations are written to sound like the money is necessary to comply with the publication requirement New York imposes on limited liability companies (LLCs). In Ohio, the solicitations state that the money is required to obtain a CD-ROM with information on corporations in the United States. The Ohio Secretary of State has a notice on its website regarding this solicitation.

  • Scam Alert: Misleading Business Solicitation in California

    Companies incorporated in California have been receiving postal mailings with the headline “Business Filings Division Statement of Information.” The mailing includes your company name and California registration number and states that you must remit payment to the Business Filings Division to avoid fines or suspension. This mailing did not come from BizFilings or the California Secretary of State. In fact, the California Secretary of State has information on this misleading business solicitation on its website.   • New Business License Requirement and Fee in Nevada

    Effective October 1, 2009, Nevada's business license is now part of the initial and annual list filing requirements administered by the Secretary of State. The Nevada Secretary of State requires that new companies file an Initial List of Officers/Directors and Business License or Initial List of Members/Managers and Business License on or before the last day of the first month after the formation of the corporation or LLC (state filing fee of $325). It is important that this is filed promptly to keep the corporation in good standing with the state and avoid costly penalty fees the state will impose if not filed by the due date. After the initial filing, the Business License is then on an annual renewal that will coincide with your Annual Report filings.
