New Jersey Facts for LLCs
Here are some key facts you should know as you consider forming an LLC in New Jersey.
At the time of incorporation, New Jersey requires you to take the following steps:
- Certificate of Formation. The document is required to form an LLC in New Jersey. LLCs are required to have one or more members/managers listed in the documentation. Their names and addresses must be listed in the Certificate of Formation. The business name must end with "Limited Liability Company," "LLC" or "L.L.C." The name must not contain any word, phrase, abbreviation or derivative thereof indicating or implying it is organized for any purpose other than one or more purposes permitted by its Certificate of Formation. It must be distinguishable from the names of other LLCs, foreign LLCs and current name reservations or registrations. The words "Olympic," "Little League," "Realtor" and "Trust" cannot be used.
- Registered Agent. LLCs must list the name and address of a registered agent with a physical address (no post office boxes allowed) in New Jersey. The registered agent must be available during normal business hours to accept important legal and tax documents for the business.
- Federal Tax Identification Number (EIN). An EIN is required for LLCs that will have employees. Additionally, most banks require an EIN in order to open a business bank account.
Professional Services Businesses. New Jersey does not allow professionals, such as accountants, attorneys and physicians, to form professional limited liability companies (PLLCs); however professionals may incorporate as an LLC.
After incorporating New Jersey also has the following ongoing requirements and tax registrations:
- Annual Report. New Jersey requires LLCs to file an annual report during the anniversary month of the LLC’s incorporation. The filing fee is $50.
- State tax identification number. New Jersey does not require a state tax identification number.
